1. The Co-op marketing fee is a $200 per zip code fee that covers the costs of running the Text Shoppers platform. Text Shoppers invests the bulk of this money directly into regional advertising campaigns that will attract local users to the site to get the local coupon programs. Text Shoppers "Co-ops" the distributor fee by investing 65% of all site revenues directly back into these marketing efforts on an ongoing basis. Over the course of a year, the amount of total marketing investment in a region will depend on how many coupon advertisers are generated and the frequency of their renewals. Every zip code benefits from the co-op marketing efforts for the entire marketing region for that zip code.
2. The Co-op marketing fee is combined with other site revenues generated by the company and used to create marketing plans that effectively drive users to the Text Shoppers site to take advantage of local merchant coupons that have been placed. These marketing campaigns will include a variety of media including print, billboards, television, radio, and online mediums. The amount of advertising available in the budget at anytime is dependent on the number of campaigns as well as the number of zip codes that have distributors. The more distributors in a territory the larger the available advertising revenue base.
3. A territory distributor does not have any specific responsibilities. Payment of the co-op marketing fee entitles a distributor to all the benefits for all sales made in that zip code. However, if a distributor extends some promotional effort to inform local merchants in his territory of the TextShoppers Coupon on demand opportunity, they will receive a greater return on their investment, and will be helping grow the TextShoppers reach even further and faster. The same can be said for telling people about the coupon system. The more viral effect that can be created by distributors, the faster TextShoppers will be the largest coupon network in the USA.
4. There is no limit on how many Zip Codes a distributor can own. A distributor can build a business as large as they feel comfortable doing. They can also employ any promotional techniques they choose, within our terms of service.
5. TextShoppers invests the bulk of the revenue it receives (65%) directly into local marketing strategies. This means that as the number of coupon promotions increase in an area, so does the amount of revenue being generated and spent at the local level for advertising.
6. Distributors receive 50% commission for all coupon promotions placed by merchants in their territory. A distributor does NOT have to sell the promotion to the merchant to get paid. Payments are made by the 15th of the following month.
7. Merchants can list their coupons directly on the Text Shoppers site, and payment for commission is directed to the distributor based on the zip code of the promotion. In addition, 50% of all other site revenues, including manufacturer coupons, promo codes, adsense, Amazon, and other vehicles on the Text Shoppers site are divided up monthly between all distributors on a 1-share per zip code basis. In addition, every coupon promotion initiated within a distributor territory will generate 1 additional share of the revenue for that month.
8. If a zip code is not in the list of available zip codes, it may be because it has already been sold. If so, you may be added to a waiting list for that zip code. In the event it became available we woud contact you about it. Occasionally there may be a zip code that is desirable but was never included in our availability. In this event, make an inquiry and we will see if we can make it available.
9. All revenues are divided into localized regions based on he zip code territories and where the merchant coupons are located. Then we execute a multi-pronged marketing campaign to drive users to Text Shoppers and redeem the coupons. Our marketing will consist of a combination of print, television and radio, online and geotargeted PPC ads.
10. Although every distributor has first right to renew their zip code affiliate relationship with Text Shoppers, they are under no obligation to renew. If the territory has produced a profit based on the number of merchants and the success of their campaigns, then a distributor may wish to renew. If not they can relinquish ownership and then the affiliate rights would transfer back to Text Shoppers.
11. The co-op marketing fee will be $200 per zip code for renewals, same as it would be for a new distributor. Under no circumstances will this amount change. It will always remain $200 per year per zip code.
